Terms of Service
Our comprehensive terms and conditions governing the use of Thinkspace coworking facilities and services.

1. Agreement to Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Member", "User", "you") and Thinkspace Limited ("Thinkspace", "Company", "we", "us", "our"), a company incorporated under the laws of New Zealand, regarding your use of our coworking facilities, services, and amenities (collectively, the "Services").
By accessing, using, or applying for membership at any Thinkspace location, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Services.
2. Definitions
"Facilities" means all Thinkspace premises located at Downtown Auckland, Parnell, Ponsonby, Mount Eden (Dominion Road), and Onehunga, including all common areas, private offices, meeting rooms, amenities, and equipment therein.
"Membership" means the contractual right to access and use the Facilities subject to these Terms, including Day Pass, Hot Desk, Dedicated Desk, and Private Office arrangements.
"Member Property" means all personal property, equipment, documents, and belongings brought to the Facilities by Members or their guests.
3. Membership Terms and Conditions
3.1 Membership Types
Thinkspace offers various membership tiers including Day Passes, Hot Desk access, Dedicated Desks, and Private Offices. Specific terms, pricing, and inclusions for each membership type are detailed in our membership documentation and may be amended from time to time.
3.2 Membership Application
All membership applications are subject to approval at Thinkspace's sole discretion. We reserve the right to refuse membership to any applicant without providing reasons. Membership is personal to the Member and may not be transferred, assigned, or sublicensed without prior written consent.
3.3 Membership Duration
Unless otherwise specified, memberships operate on a month-to-month basis. Dedicated Desk and Private Office memberships may be terminated by either party with one (1) month's written notice. Day Passes are valid for single-day use only.
4. Payment Terms
4.1 Fees and Billing
All membership fees are payable in advance and are exclusive of GST unless otherwise stated. Payment is due on the membership commencement date and monthly thereafter on the same date. All prices are subject to change with thirty (30) days' written notice.
4.2 Late Payment
Overdue accounts may incur late payment fees and interest charges. Access to the Facilities may be suspended if payments are more than seven (7) days overdue. Thinkspace reserves the right to terminate membership and recover all outstanding amounts through legal proceedings.
4.3 No Refunds
Membership fees are non-refundable except as required by law or at Thinkspace's sole discretion. Pro-rata refunds may be considered for early termination due to exceptional circumstances.
5. Facility Usage Rules
5.1 Access and Security
Members are issued access credentials for authorized areas during specified hours. Members are responsible for the security of their access credentials and must report lost or stolen cards immediately. Unauthorized access or sharing of credentials may result in immediate membership termination.
5.2 Conduct Standards
Members must maintain professional conduct and respect for other Members at all times. Activities that disturb others, damage property, or violate applicable laws are prohibited. Thinkspace reserves the right to refuse access or terminate membership for inappropriate conduct.
5.3 Guests and Visitors
Members may bring guests subject to advance registration and supervision requirements. All guests must sign in and remain accompanied by the Member. The Member is fully responsible for their guests' conduct and any damages caused.
5.4 Use Restrictions
The Facilities may only be used for lawful business purposes. Prohibited activities include but are not limited to: illegal operations, activities requiring special licenses, manufacturing, retail sales, and any use that may increase insurance risks or violate building consents.
6. Meeting Rooms and Additional Services
Meeting room access is governed by our token system and booking policies. Additional services such as printing, mail handling, and administrative support are available at published rates. All bookings are subject to availability and cancellation policies outlined in our member portal.
7. Property and Liability
7.1 Personal Property
Members store personal property at their own risk. Thinkspace accepts no responsibility for theft, damage, or loss of Member Property, regardless of cause. Members are strongly advised to obtain appropriate insurance coverage for their belongings.
7.2 Limitation of Liability
To the maximum extent permitted by law, Thinkspace's total liability for any claim arising from or relating to these Terms or use of the Facilities shall not exceed the total amount paid by the Member in the twelve (12) months preceding the claim. Thinkspace shall not be liable for any indirect, consequential, or punitive damages.
7.3 Indemnification
Members agree to indemnify and hold harmless Thinkspace, its directors, employees, and agents from any claims, damages, or expenses arising from the Member's use of the Facilities, breach of these Terms, or violation of applicable laws.
8. Intellectual Property
All intellectual property rights in the Facilities, equipment, systems, and Thinkspace branding remain the exclusive property of Thinkspace or its licensors. Members may not use, reproduce, or distribute any Thinkspace intellectual property without express written permission.
9. Data Protection and Privacy
Thinkspace collects and processes personal information in accordance with the Privacy Act 2020 and our Privacy Policy. By accepting these Terms, Members consent to the collection, use, and disclosure of personal information as outlined in our Privacy Policy.
10. Termination
10.1 Termination by Member
Members may terminate their membership by providing one (1) month's written notice. All outstanding fees must be paid, and access credentials returned upon termination.
10.2 Termination by Thinkspace
Thinkspace may terminate membership immediately for material breach of these Terms, non-payment of fees, or conduct that compromises the safety or reputation of the Facilities. In other circumstances, one (1) month's notice will be provided.
11. Force Majeure
Neither party shall be liable for any delay or failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, or pandemic restrictions. During such events, Thinkspace will endeavor to provide alternative arrangements where possible.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of New Zealand. Any disputes arising from or relating to these Terms or the use of our Services shall be subject to the exclusive jurisdiction of the New Zealand courts. The parties agree to submit to the jurisdiction of the courts of Auckland, New Zealand.
13. General Provisions
13.1 Amendments
Thinkspace may amend these Terms at any time by providing thirty (30) days' written notice. Continued use of the Services after notice constitutes acceptance of the amended Terms.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings relating to the subject matter herein.
